Terms & Conditions

These terms govern every service, product and contract provided by Q Softwares. Please read them carefully before placing an order.

1. Introduction

Q Softwares is a legally registered software company operating in the United Republic of Tanzania. These Terms and Conditions apply to all websites, mobile apps, SaaS products, design work, installations, consulting and support services we provide. By requesting a quote, signing a proposal or using our deliverables, you confirm that you have read, understood and agreed to these Terms. If you disagree, you must not proceed with our services.

2. Definitions

'Services' means web development, mobile apps, SaaS platforms, graphic design, branding, installation and support provided by Q Softwares. 'Client' means the person, business or organisation commissioning work or purchasing products. 'Deliverables' refers to code, designs, media, documentation and any finished work handed over upon project completion and payment. 'Confidential Information' includes all non-public business data, source code, client data and strategies shared during the engagement.

3. Services and Scope

Project scopes, timelines, milestones and costs are agreed in writing before work begins. Any change requested after the project starts — such as new features, design revisions or additional pages — may change the price and delivery date and must be confirmed in writing. We will always inform you before charging for extra work. Delays caused by our staff illness, power outages, internet failures or third-party service changes are not breaches of these Terms and may extend delivery timelines fairly.

4. Client Responsibilities

You must provide accurate information, assets, login credentials, brand materials and feedback on time. Delays in receiving these from you directly affect project schedules and final delivery. You are also responsible for making sure your use of our software obeys all applicable laws in Tanzania and any other country where you operate, including data protection, tax and intellectual property rules.

5. Pricing and Payment

We quote in Tanzanian Shillings (TZS) or United States Dollars (USD) as stated in your proposal or invoice. Payment terms — including deposits, instalments and final payment dates — are set out in the project agreement. Late payments may attract interest of two percent (2%) per month or the maximum allowed by law, whichever is lower. We may pause work and hold deliverables until all outstanding amounts are paid in full.

6. Intellectual Property

Once you have paid in full, you own the custom code, designs and final deliverables made specifically for your project. We keep ownership of our underlying frameworks, generic libraries, tools and reusable components. You give us a permanent, worldwide, no-cost licence to reuse general knowledge, non-secret techniques and design patterns from our work together. All our pre-existing products, including SchoolCr and Ferron, remain our property.

7. Limitation of Liability

To the maximum extent allowed by law, Q Softwares is not responsible for any indirect, accidental, special or financial losses — including lost profits, data, business chances or reputation — that come from using or being unable to use our services. If we are found liable, our total responsibility for any claim under these Terms will not exceed the total fees you paid for the service that caused the claim. We are not liable for delays or failures caused by events outside our control, including but not limited to power cuts, internet outages or third-party service failures.

8. Termination

Either side may end the agreement by giving fourteen (14) days written notice. If either party seriously breaks these Terms, the other side may end the agreement immediately if the breach is not fixed within fourteen (14) days. When the agreement ends, you must pay for all work done and costs approved up to the termination date. Finished and paid-for work will be handed over within seven (7) business days.

9. Governing Law and Contact

These Terms follow the laws of Tanzania. If a dispute cannot be solved by talking within thirty (30) days, either party may ask for arbitration in Dar es Salaam under Tanzania arbitration rules, with English as the official language.
